       Sponsor Agreement




This Sponsor Agreement (“Agreement”) by and between Montachusett Team Parent Association (“MTPA”) and                                                        (“Sponsor”) is for participation in the ______________Sponsorship.  In exchange for your payment of $___________, you will be entitled to:

§         Gold Sponsorship - $100

o        Includes listing on Montachusett School of Gymnastics website under the link “Sponsors”.

o        Listed on signage in the gym that will stay up for the 2009-2010 season

o        Listing on Home Meet handouts for all three meets

§         Silver Sponsorship  - $50

o        Listed on signage in the gym that will stay up for the 2009-2010 season

o        Listing on Home Meet handouts for all three meets

§         Bronze Sponsorship - $25

o        Listing on one (1) Home Meet handout

Acceptance of sponsors in each category is on a first come, first serve basis.  More than one sponsor per category is allowed. 

Cancellation policy:

(a)     Cancellation by Sponsor (Gold & Silver Sponsors only) - MTPA must receive written notification from the Sponsor at the above-mentioned address. Cancellations submitted up to one (1) month after signed agreement has been received would be entitled to a 50% refund.  Cancellations received after two (2) month period will result in total forfeiture of the sponsorship fee.

(b)     Change or cancellation of program - MTPA reserves the right to make scheduling changes. In the event of a change or cancellation, MTPA’s sole liability to the Sponsor shall be to notify as far in advance as possible of such change or cancellation and refund up to 50% of funds for canceling the program only. 

(c)     For Bronze Sponsors only:  In the event of a meet cancellation, MTPA’s sole responsibility shall be to refund 50% of funds previously paid by the Sponsor for the program in question.

MTPA MAKES NO WARRANTIES WITH RESPECT TO any PRODUCT, license or SERVICE AND DISCLAIMS ALL Statutory or IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, or arising from a course of dealing or usage of trade and any WARRANTIES OF NONINFRINGEMENT.

NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT OR OTHERWISE, MTPA WILL in no event BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL, contractual OR EQUITABLE THEORY FOR:  (I) ANY Indirect, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, however caused and whether or not advised in advance of the possibility of such damages; or (ii) damages for LOST profits or lost DATA; OR (III) COST OF PROCUREMENT OF SUBSTITUTE GOODS, TECHNOLOGY OR SERVICES.  NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY OR THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITATION OF LIABILITY OR LIMITED REMEDY, MTPA’S ENTIRE AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SUBJECT MATTER HEREOF, UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT, INDEMNITY OR OTHERWISE), SHALL BE LIMITED TO THE AMOUNTS RECEIVED BY MTPA UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE THE CLAIM.

I hereby agree to abide by the requirements and deadlines described above and will pay the Total Fee for participation as indicated on this application. This Agreement is executed by our duly authorized representative(s).
